Roy Disney has posted an open letter on the Save Disney website coming out against a recent proposal by Disney shareholder Frank Wierenga that would reserve a seat on the Board of Directors for a member of the Disney family. Disney said while he appreciated the sentiment behind the proposal he warned that “in the interest of good corporate governance, no one should have the right to a seat on the Board merely because of his or her last name. Directors should be selected for, among other things, their ability, experience and willingness to actively oversee Company management. The Disney name alone would not make a director an independent advocate for excellence”. Jim Hill weighs in on some of the possible reasonings behind this decision.
